Sr. Corporate Paralegal

OpenSea is looking for a Senior Corporate Paralegal to join its Corporate legal team to partner closely with attorneys and other stakeholders to support a broad range of corporate matters, including governance, securities, financing and M&A transactions. We are looking for a great colleague who can operate in a fast-paced environment and partner with teams across OpenSea, including the Finance, Tax, Legal, People and Corporate Development teams.

Responsibilities

  • Oversee and collaborate with internal stakeholders on broad range of entity and subsidiary management matters, including entity formation and structuring, POAs, licenses, statutory filings, and subsidiary governance matters
  • Assist on corporate governance matters, including board and shareholder resolutions, officer’s certificates and related documents
  • Assist with M&A, financing and other strategic transactions, including managing data rooms and diligence process
  • Support on employee equity and related matters, including capitalization table related matters and transfer agreements
  • Support and work cross-functionally with stakeholders in Finance, Tax, People, Corporate Development and Legal on broad range of general corporate matters
  • Establish internal corporate processes, including maintenance of corporate records and databases and implementation of policies
  • Coordinate domestic and international corporate filings

Job Requirements

  • 7+ years of corporate paralegal experience, including experience at a high-growth, private tech company
  • Strong track record of effective cross-functional partnership with lawyers and non-lawyers to align on quick, creative solutions
  • Excellent organizational skills, sound judgment, and the ability to handle multiple tasks at a time in a fast paced environment
  • Passion for crypto, blockchain technologies, web3, and NFTs
  • Bachelor’s degree, excellent academic record
